What It Catches

The tool is trained to identify the most common and most dangerous contract issues across all standard agreement types. Here are some of the things it looks for:

Liability and indemnification. Is there a cap on your liability? Are you indemnifying the other party for things outside your control? Many contracts include unlimited liability exposure buried in dense legal language.

Termination rights. Can both parties terminate, or just one? What are the notice periods? Are there penalties for early termination? One-sided termination clauses are one of the most common red flags we see.

Intellectual property. Does the contract claim ownership of IP beyond the scope of the project? For freelancers and consultants, this is critical — some contracts include language that would assign your pre-existing IP or work done for other clients.

Non-compete and non-solicitation. How broad are the restrictions? How long do they last? A 3-year worldwide non-compete attached to a 6-month consulting engagement is a very different risk profile than a 1-year restriction limited to direct competitors.

Payment terms. When do you get paid? What triggers payment? Are there conditions that could delay payment indefinitely? Vague payment language is more common than most people realize.
